Business Formation.
The Firm provides guidance and assistance in forming and maintaining new business entities (e.g. corporations,
non-profit corporations, limited liability companies, professional corporations, professional associations,
general partnership, joint ventures, limited partnerships, limited liability partnerships, and family limited
partnerships),preparing organizational documents, by-laws, minutes, buy-sell agreements and other relevant
shareholder agreements; preparing licensing and franchising agreements; facilitating qualifications of foreign
business entities to do business in Texas; negotiating and documenting employment agreements, stock option
agreements and non-compete agreements.
Mergers and Acquisitions.
Representing buyers, sellers, lenders, and management in mergers, acquisitions, and asset transactions; tax
planning and analysis (tax-free reorganizations); director fiduciary considerations; post-closing management
equity arrangements; non-competition and other post-closing restrictive agreements; dissenting shareholder
matters; environmental issues; workouts and restructuring; fraudulent conveyance matters; and successor liability.
Business Counseling.
The Firm assists in corporate and business counseling for private and public companies; board and shareholder
meetings; director fiduciary duties and conflicts; stock issuances, transfers and redemptions; employee confidentiality
arrangements; protecting trade secrets and other proprietary information; rights of first refusal, buy-sell
and other shareholder agreements; employment and employee benefit issues; stock option and other incentive
compensation plans; executive compensation matters; employment and consulting arrangements; business dissolution;
and director indemnification arrangements.
Business Litigation.
The Firm represents plaintiffs and defendants in both complex commercial litigation and general litigation
cases. These business cases involve all types of commercial disputes, including breach of contract, business
torts, corporate and partnership disputes, business disparagement, enforcement and challenging of non-compete
agreements, fiduciary duty issues, and shareholder derivative and oppression suits.
Recognizing that our clients' corporate needs involve virtually every aspect of their businesses, we work
closely with the other practice areas in our firm, including tax, litigation, real estate, labor and employee
benefits to provide a balanced, thoughtful approach to our clients' requirements.
